Terms of Service

These terms govern your use of the Senia platform at seniaapp.com

Please read these terms carefully

By registering for an account on the Senia platform you confirm that you have read, understood, and agree to be bound by these Terms of Service and all policies referenced herein. If you do not agree to these terms you may not register for or use the platform. These terms constitute a binding legal agreement between you and Senia LLC.

1. Definitions

The following definitions apply throughout these Terms of Service.

  • "Senia," "we," "us," and "our" refer to Senia LLC, a limited liability company organized under the laws of the State of Oklahoma.
  • "Platform" refers to the Senia web application accessible at seniaapp.com and all associated services, features, and content.
  • "Member" refers to any individual or business entity that has submitted an application to join the platform and has been approved by Senia.
  • "Contractor member" refers to a member who registered as a general contractor, prime contractor, subcontractor, specialty trade company, or government contractor.
  • "Vendor member" refers to a member who registered as an equipment, material, or site support company.
  • "Account" refers to the credentials and profile associated with a registered member.
  • "Content" refers to any information, text, images, documents, reviews, messages, or other material submitted to the platform by any member.
  • "Connection" refers to a mutual acceptance by two members to communicate and collaborate through the platform.
  • "Project need" refers to a posting made by a contractor member describing work or services they are seeking from other members.
  • "Review" refers to a written assessment submitted by one member about another member with whom they share an accepted connection.
  • "Founding member" refers to a member who registered and was approved before the platform activated paid subscriptions.
  • "Set-aside certification" refers to federal small business designations including but not limited to SDVOSB, VOSB, WOSB, EDWOSB, 8(a), HUBZone, and SBA Small Business certification.

2. Acceptance and Eligibility

2.1 Acceptance of Terms

By registering for an account on the Senia platform you represent that you have the legal authority to enter into this agreement on behalf of yourself and any business entity you represent. If you are registering on behalf of a business entity you represent that you are authorized to bind that entity to these terms.

2.2 Age Requirement

You must be at least 18 years of age to register for and use the platform. By registering you confirm that you are at least 18 years of age. Senia reserves the right to terminate any account if it discovers the account holder is under 18 years of age.

2.3 Business Use Only

The platform is intended exclusively for use by business entities and individuals acting in a professional business capacity. The platform is not intended for personal, household, or consumer use. By registering you represent that you are using the platform for legitimate business purposes.

2.4 Geographic Scope

The platform is operated from the United States and is intended for use by businesses operating within the United States. Senia makes no representation that the platform is appropriate or available for use in other jurisdictions. Access to the platform from locations outside the United States is at the user's own risk and subject to applicable local laws.

3. Account Registration and Verification

3.1 Application Process

Access to the platform is not automatic. Every applicant must submit a registration application and await manual review and approval by Senia before gaining access to any platform features. Senia reserves the right to approve or deny any application in its sole discretion without being required to provide a reason for denial.

3.2 Accurate Information

You must provide accurate, complete, and truthful information in your registration application and throughout your use of the platform. This includes but is not limited to your company name, business address, contact information, trade or service category, credentials, certifications, licenses, insurance status, and any documents you upload. Providing false or misleading information in any form is a material breach of these terms and will result in immediate termination of your account.

3.3 Set-Aside Certifications

If you claim any federal set-aside certification including SDVOSB, VOSB, WOSB, EDWOSB, 8(a), HUBZone, SBA Small Business, or any other government-designated certification, you represent that such certification is current, valid, and has been granted by the appropriate certifying authority. Misrepresenting a set-aside certification in connection with federal contracting activity may constitute fraud under 18 U.S.C. Section 1001 and the False Claims Act and may expose you to significant federal civil and criminal penalties. Senia cooperates fully with any federal agency investigating certification fraud involving platform members.

3.4 Document Uploads

When you upload documents to the platform including business licenses, certificates of insurance, W-9 forms, government registration documents, identification documents, or certification documents, you represent that those documents are genuine, belong to your business, and accurately reflect the credentials you claim. Senia reviews uploaded documents as part of the verification process but does not independently certify, warrant, or guarantee the accuracy of any document or credential to other members or third parties. The display of a verified badge on a member profile reflects only that Senia reviewed the submitted documentation and does not constitute a certification or guarantee by Senia.

3.5 Account Security

You are solely responsible for maintaining the confidentiality and security of your account credentials including your email address and password. You may not share your login credentials with any other person or entity. Each employee or representative of your company who uses the platform must have their own separate account. You agree to notify Senia immediately at support@seniaapp.com if you believe your account has been accessed without your authorization. Senia is not liable for any loss or damage arising from unauthorized access to your account that occurs before you notify us.

3.6 Account Responsibility

You are responsible for all activity that occurs under your account regardless of whether that activity was authorized by you. Actions taken through your account credentials are attributed to you and your business.

4. Platform Use and Acceptable Conduct

4.1 Permitted Uses

Members may use the platform to search for and view other verified member profiles, send and receive connection requests, communicate with connected members through the platform messaging system, post project needs, express interest in project needs posted by other members, submit and receive peer reviews, and manage their company profile and credentials.

4.2 Prohibited Conduct

The following conduct is strictly prohibited and constitutes a material breach of these terms that may result in immediate account termination without notice or refund.

  • Providing false, misleading, or fraudulent information in your profile, registration, or any communication on the platform
  • Claiming credentials, certifications, licenses, or business qualifications that you do not possess
  • Using another company's identity, name, registration numbers, or credentials to create or operate an account
  • Registering multiple accounts for the same company without written authorization from Senia
  • Sharing account credentials with any person not authorized to represent your company on the platform
  • Harassing, threatening, or engaging in abusive conduct toward any other member
  • Sending unsolicited commercial messages or solicitations to members outside the context of a project-related connection
  • Using contact information found on Senia profiles to contact members outside the platform for the purpose of soliciting teaming agreements, subcontracting arrangements, staffing services, consulting services, proposal writing services, or any other commercial offer unrelated to a specific posted project need. This prohibition applies regardless of whether contact is made by phone, email, text message, or any other method. Members who receive unsolicited solicitation from another Senia member through any channel are encouraged to report it using the platform flag system.
  • Posting project needs that do not represent genuine work requirements or that are designed to harvest vendor information without genuine intent to hire
  • Submitting false, fabricated, or retaliatory reviews about other members
  • Coordinating with other members to submit fake positive reviews or to suppress legitimate negative reviews
  • Using the platform to facilitate any activity that violates applicable federal, state, or local law
  • Attempting to access, interfere with, or disrupt the platform infrastructure or other members' accounts
  • Scraping, copying, or systematically extracting data from the platform without written authorization from Senia
  • Using the platform in any way that creates disproportionate load on platform infrastructure

4.3 Project Needs Board

Project needs posted on the platform must represent genuine work requirements that you have or reasonably anticipate having. Anonymous posting is permitted and means your company name is not visible to members browsing the board. When you select a company from those who expressed interest, your contact information is shared with the selected company. You are responsible for all project needs you post and for the accuracy of the requirements stated therein.

4.4 Peer Reviews

Reviews may only be submitted between members who have an accepted connection on the platform. Reviews must reflect genuine experiences from actual work performed. Reviews are held for a period before publication to allow for quality review. Senia reserves the right to remove any review that contains false statements of fact, personal identifying information of individuals, contact information, pricing data, or content that violates these terms. The submission of a review does not guarantee its publication. Senia is not liable for the content of reviews submitted by members.

4.5 Platform is Not a Party to Member Transactions

Senia facilitates introductions and connections between verified businesses. Senia is not a party to any contract, agreement, transaction, or business relationship that may result from connections made through the platform. Senia does not broker, guarantee, or warrant the performance of any member, the quality of any work, the delivery of any goods or services, or the outcome of any project. All agreements between members are solely between those members and Senia has no obligation, liability, or responsibility in connection with any such agreements.

5. Account Suspension and Termination

5.1 Senia's Right to Remove Members

Senia reserves the right to suspend, restrict, or permanently terminate any member account at any time, with or without prior notice, and with or without cause, in its sole and absolute discretion. This right is unconditional and is essential to maintaining the integrity of the platform as a trusted private network. By registering on the platform you acknowledge and agree to this right and waive any claim against Senia arising from the exercise of this right except as expressly prohibited by applicable law.

5.2 Grounds for Immediate Termination

The following violations will result in immediate account termination without warning and without refund of any subscription fees paid.

  • Fraud, identity misrepresentation, or impersonation of another company or individual
  • Providing false information during registration including false credential claims
  • Misrepresenting federal set-aside certifications
  • Using the platform to facilitate illegal activity
  • Harassment, threats, or abuse of other members
  • Coordinated review manipulation
  • Any conduct that Senia determines in its sole discretion poses a risk to the safety, trust, or integrity of the platform

5.3 Tiered Enforcement

For less serious violations Senia may at its discretion issue a written notice requiring correction within 48 hours, temporarily suspend the account pending investigation, restrict specific platform features, or require additional verification before restoring full access. The tiered enforcement process is entirely discretionary and Senia is not required to follow it before exercising its right to immediate termination under Section 5.1.

5.4 Member-Initiated Account Deletion

Members may delete their own account at any time through the platform settings page. Account deletion is permanent and irreversible. Upon deletion all profile data, documents, connections, messages, project needs, and account information are permanently removed. Published reviews submitted by the deleted account remain on the platform attributed to a deleted account as they constitute factual records of completed work. Support and audit records are retained as described in the Privacy Policy.

5.5 Effect of Termination

Upon termination of your account for any reason you immediately lose all access to the platform and all data associated with your account. Senia is not obligated to provide you with a copy of your data upon termination except as required by applicable privacy law. Sections of these terms that by their nature should survive termination will survive including but not limited to limitation of liability, governing law, and dispute resolution.

6. Founding Member Pricing

6.1 Founding Member Designation

Every member who registers and is approved before the platform activates paid subscriptions is designated as a founding member. Founding member status is automatically granted and does not require any additional action by the member.

6.2 Founding Member Pricing Commitment

Senia makes the following binding commitment to all founding members: when the platform activates paid subscriptions, founding members will receive a permanent discount of twenty percent off the then-current standard monthly subscription price. This discount applies for as long as the founding member's account remains active and in good standing. This commitment is binding on Senia and is not a revocable policy. Senia may not reduce the founding member discount below twenty percent off standard pricing without the written consent of the affected member.

6.3 Forfeiture of Founding Member Status

Founding member status and the associated pricing discount are forfeited only under the following conditions: the member's account is terminated by Senia for violation of these terms, or the member voluntarily cancels their account. A member whose account is reinstated after voluntary cancellation is not entitled to restoration of founding member status.

6.4 Non-Transferable

Founding member status and associated pricing are personal to the registered account and may not be transferred, assigned, or sold to any other party.

7. Subscriptions and Payments

7.1 Current Free Access

As of the effective date of these terms, access to the platform is provided at no charge to approved members. Senia reserves the right to introduce subscription fees at any time upon reasonable notice to existing members.

7.2 Future Subscription Terms

When Senia activates paid subscriptions it will provide existing members with at least thirty days advance written notice before billing begins. Subscription terms, pricing, billing cycles, and cancellation policies will be published on the platform and will be incorporated into these terms by reference at the time of activation.

7.3 Refund Policy for Terminated Accounts

If a member's account is terminated by Senia for fraud, identity misrepresentation, or impersonation at any time after paid subscriptions are activated, Senia will refund all subscription fees paid by that member regardless of when those fees were collected. This refund policy reflects Senia's commitment to operating in good faith with its members. Accounts terminated for other violations of these terms are not entitled to a refund except as required by applicable law. Accounts suspended during a security investigation will have billing paused for the duration of the suspension. If the investigation results in account restoration the member is credited for the suspended period.

8. Intellectual Property

8.1 Platform Ownership

The Senia platform including its design, code, features, branding, and all original content created by Senia is owned by Senia LLC and protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works from any Senia-owned content without written authorization.

8.2 Member Content

You retain ownership of the content you submit to the platform including your company profile information, uploaded documents, messages, and reviews. By submitting content to the platform you grant Senia a non-exclusive, royalty-free license to store, display, and use that content for the purpose of operating and improving the platform. This license terminates when your account is deleted subject to the data retention provisions of the Privacy Policy.

8.3 Aggregated Data

Senia may use aggregated and anonymized data derived from platform activity to develop business intelligence products, market reports, and platform analytics. Aggregated data does not identify individual members and cannot be used to contact or target any specific person or company. Nothing in this section grants Senia the right to sell your personal information to any third party, which Senia expressly does not do.

9. Disclaimer of Warranties

The Senia platform is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. Senia expressly disclaims all warranties including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Senia does not warrant that the platform will be uninterrupted, error-free, or free of viruses or other harmful components. Senia does not warrant the accuracy, completeness, or reliability of any member-submitted content including credentials, certifications, reviews, or project need postings.

10. Limitation of Liability

To the fullest extent permitted by applicable law, Senia LLC and its members, managers, employees, agents, and successors shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages arising out of or related to your use of or inability to use the platform. This includes without limitation damages for loss of profits, loss of business, loss of revenue, loss of data, loss of goodwill, or any other intangible loss.

Senia is not liable for any damages arising from transactions, disputes, or business relationships between members. Senia is not a party to any member transaction and has no liability for work quality, project outcomes, payment disputes, or any other matter arising from member interactions.

In jurisdictions that do not allow the exclusion or limitation of certain damages, Senia's liability is limited to the maximum extent permitted by law. In no event shall Senia's total liability to you for all claims arising under these terms exceed the total subscription fees you paid to Senia in the twelve months preceding the claim, or one hundred dollars ($100.00), whichever is greater.

11. Indemnification

You agree to defend, indemnify, and hold harmless Senia LLC and its members, managers, employees, agents, and successors from and against any claims, damages, losses, liabilities, costs, and expenses including reasonable attorneys' fees arising from or related to: (a) your use of the platform; (b) any content you submit to the platform; (c) your violation of these terms; (d) your violation of any applicable law or regulation; (e) any claim that content you submitted infringes or misappropriates any third party right; or (f) any misrepresentation of your credentials, certifications, or business identity.

12. Governing Law and Dispute Resolution

12.1 Governing Law

These Terms of Service and any dispute arising from your use of the platform are governed by the laws of the State of Oklahoma without regard to its conflict of law principles. By registering on the platform you consent to personal jurisdiction in the State of Oklahoma.

12.2 Jurisdiction

Any legal action or proceeding arising from these terms or your use of the platform shall be brought exclusively in the state or federal courts located in Oklahoma County, Oklahoma. You waive any objection to the exercise of jurisdiction over you by such courts and to venue in such courts.

12.3 Dispute Resolution

Before initiating any formal legal proceeding you agree to contact Senia at legal@seniaapp.com and provide a written description of your dispute. Senia will respond within thirty days. Both parties agree to attempt to resolve disputes in good faith before resorting to formal legal proceedings.

12.4 Class Action Waiver

You agree that any dispute with Senia will be resolved on an individual basis and not as part of any class or collective action. You waive your right to participate in a class action lawsuit or class-wide arbitration against Senia.

12.5 Limitation on Claims

Any claim arising from your use of the platform must be brought within one year of the date on which the cause of action accrued. Claims not brought within this period are permanently barred.

13. Privacy

Your use of the platform is subject to Senia's Privacy Policy, which is incorporated into these terms by reference. By registering on the platform you consent to the collection, use, and disclosure of your information as described in the Privacy Policy.

14. Modifications to These Terms

Senia reserves the right to modify these terms at any time. When changes are made Senia will update the effective date at the top of this document and notify existing members by email at least fourteen days before the changes take effect. Your continued use of the platform after the effective date of any modification constitutes your acceptance of the updated terms. If you do not agree to the updated terms you must stop using the platform and delete your account before the effective date.

Senia maintains a record of the version of these terms that each member agreed to at the time of registration. When terms are updated members who agreed to a prior version will be notified and required to accept the updated version before continuing to use the platform.

15. General Provisions

15.1 Entire Agreement

These terms together with the Privacy Policy and any additional policies incorporated by reference constitute the entire agreement between you and Senia regarding your use of the platform and supersede all prior agreements and understandings.

15.2 Severability

If any provision of these terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect.

15.3 Waiver

Senia's failure to enforce any provision of these terms does not constitute a waiver of its right to enforce that provision in the future.

15.4 Assignment

You may not assign or transfer your rights or obligations under these terms without Senia's written consent. Senia may assign its rights and obligations under these terms without restriction.

15.5 No Third Party Beneficiaries

These terms are for the benefit of Senia and the registering member only and do not create any rights in any third party.
